No.
1) The 40mm is not halved, since the American are targetting at a range equal to or less than the printed range of the 40mm
2) After the first Opp Fire, the American units will be marked Fired and so won't be available to fire again. The second Opp fire would have to come from different unit(s)

ha! ok... what is the value of the boxed 2 FP does it have anything special other than 2 FP ??

Well, it is akin to the HE equivalent of OFT weapons (even though it is not one technically) and is divided by two at range of 4-6 hexes.
