If an HQ is eliminated, are all units considered OoC?
The way I interpret the rules is: any unit out of command can not conduct ANY action other than Opportunity fire. So by interpretation, if an HQ is eliminated and there's no leaders available per the scenario rules, that should be automatic victory for the other side. Is this correct?

You are partially correct. If a unit is outside of the HQ command radius, it must make a morale/training check to determine if it's "In Command". Being outside the command radius includes when the HQ has been suppressed. An HQ is never destroyed; it may be suppressed, but it will eventually get back to the board. The HQ is somewhat abstracted, see the design note under rule 7.2.2 for details.

And yes, if the unit is out of command, it can only OpFire. Go for the HQ formations to really slow down an enemy advance. :)
